"Customer” means Washroom Wizards Hygiene Care Hygiene Care customer;
"Agreement" means any agreement between Washroom Wizards Hygiene Care
Hygiene Care and the Customer for the rental of goods or for the provision of
washroom services;
"Items" means, the articles which are rented to the Customer by
Washroom Wizards Hygiene Care Hygiene Care including any replacement articles)
"Schedule" means any listing of items which are subject to an
Agreement; 1, 'Minimum Term" means the minimum term indicated in the
Schedule or in these Terms for which any Item will be supplied,
Commencing from the date when the supply of such Items begins.
Unless expressly agreed in writing, these terms will apply to all Agreements between Washroom Wizards Hygiene Care and the Customer. Headings in these terms are for ease of reference only and do not affect interpretation. 2, Ownership of Items:
Items supplied on a rental basis remain Washroom Wizards Hygiene Care property at all times, even after the Agreement has terminated. No third party must be permitted to remove them without permission. The Customer must insure them for full reinstatement value while in their possession. Any Items which are lost or damaged will be charged to the Customer. 4, Customer's Obligations:
The Customer, not Washroom Wizards Hygiene Care, is responsible for ensuring the Items supplied are appropriate for their intended use throughout the term of this Agreement.
Washroom Wizards Hygiene Care Undertakes to carry out the services detailed in this Agreement, to the reasonable satisfaction of the Customer. Should any serious complaint be necessary it should be confirmed to Washroom Wizards Hygiene Care in writing within 24 hours, upon receipt of such complaint Washroom Wizards Hygiene Care will take all steps it reasonably considers necessary to rectify the matter without expense to the Customer. 5, Liability:
Washroom Wizards Hygiene Care Does not accept liability for loss of profits of other consequential loss however arising or for loss or damage resulting from events outside its direct control.
If Washroom Wizards Hygiene Care supplies equipment, then installation will be as safe as practicable, but Washroom Wizards Hygiene Care does not accept liability for any Items which the Customer has relocated, repaired or used for purposes other than those for which they were intended. On removal of products or services, Washroom Wizards Hygiene Care Will take all reasonable means to remove the articles, but no liability is accepted for damage to walls on removal. 6, Minimum Terms:
Minimum Term: all services have a minimum term of 12 Months except Custom Logo Dust mats, which are 36 months. 7 Terminations:
The Agreement commences on the date on which it is accepted and signed on behalf of Washroom Wizards Hygiene Care. Either party can terminate the Agreement at anytime, by giving one full months notice in writing. In the event of a breach of this Agreement by the Customer, which is not remedied within seven days of Washroom Wizards Hygiene Care written request, or in the event of the Customer's insolvency, Washroom Wizards Hygiene Care may terminate this Agreement immediately.
When the Agreement ends, any rented Items in service must be made available for collection by Washroom Wizards Hygiene Care, A residual value charge will be payable for any Item not subject to a Minimum Term. A schedule of Residua! Value charges are always available from Washroom Wizards Hygiene Care on request. Washroom Wizards Hygiene Care, reserves the right to update that schedule from time to time. Residual Value charges will also be applied for any items taken out of service for any reason during the Agreement, including during any one months notice period. If any rented Items are not made available for collection by Washroom Wizards Hygiene Care. When the Agreement ends, Washroom Wizards Hygiene Care will make a charge for those Items. A schedule of such charges is always available from Washroom Wizards Hygiene Care On request. Washroom Wizards Hygiene Care, reserves the right to update that schedule from time to time. Where any Items are subject to a Minimum Term and the Agreement is terminated by the Customer or due to the Customer's default or insolvency before the expiry of the Minimum Term, a charge will be payable on termination by the Customer to Washroom Wizards Hygiene Care,. This charge will be the balance of the weekly charges for those Items for the whole of the unexpired period of the Minimum Term, to reflect the losses which will be suffered by Washroom Wizards Hygiene Care, in the event of early termination.
